Corporate Securities Senior Associate or Counsel / 6+ yrs. / Boston, New York, Philadelphia and Washington DC
A well known and respected national law firm is seeking a Corporate Securities Senior Associate or Counsel to join their expanding securities group in either Boston, New York, Philadelphia and Washington DC. Candidates should have at least six years of in-depth experience in: Public company rules and regulations (the Securities Act of 1933, the Securities Exchange Act of 1934); Public and private offerings of securities; Knowledge of national securities exchange listing rules; Reporting on Forms 10-K, 10-Q and 8-K; Proxy statements for annual and special shareholder meetings; Section 16 Reporting (Forms 3, 4 and 5); and, General corporate and corporate governance experience (e.g., drafting board resolutions, policies, press release, etc.). Broker-dealer, FINRA, investment adviser, or fund formation experience is a plus. This is an opportunity to join a sophisticated and entrepreneurial practice in a collegial and supportive environment. Bar admission required for the jurisdiction of practice. The anticipated pay range for this role is $230,000 – $260,000.
