Corporate (Capital Markets) Associate / Ft. Lauderdale, Miami or Orlando

A highly ranked, international law firm is seeking a Corporate and Capital Markets Associate for their global Capital Markets practice.  This Capital Markets team is nationally recognized with a dynamic and continually growing practice.  Applicants should have at least 2-4 years of experience representing private and public company clients both in capital market transactions as well as in general corporate, disclosure and compliance matters.  The ideal candidate will have experience representing emerging growth issuers in public and private offerings of debt and equity securities, including Regulation D (venture capital and retail platform investments), Regulation A, initial public offerings, follow-on offerings, and fund formation.  Additional experience counseling pre-IPO and public companies on disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters, including preparation of Exchange Act filings, including Forms 10-K, 10-Q, 8-K and proxy statements, is highly preferred. Experience representing foreign private issuers is a plus.  Candidates can expect to manage client relationships and handle day-to-day needs of clients.  This is an immediate need.  This position is location flexible and candidate may work from Ft.
